Sunshine Power (300274): Special Opinion on the Independence Assessment of Independent Directors

Sunshine Power Co., Ltd. has issued a special opinion regarding the independence of its independent directors. This assessment is in accordance with the requirements set forth by the China Securities Regulatory Commission’s Measures for the Administration of Independent Directors of Listed Companies, the Listing Rules for the Growth Enterprise Market of the Shenzhen Stock Exchange, and the Self-Regulatory Guidelines No. 2 for Listed Companies on the Shenzhen Stock Exchange – Standard Operation of Growth Enterprise Market Listed Companies.
Based on the 2024 Annual Independence Self-Examination Report submitted by the independent directors, Ms. Gu Guang, Mr. Li Mingfa, and Mr. Zhang Lei, the board of directors of Sunshine Power has conducted an evaluation of the independence of its independent directors and provides the following special opinion:
After verification, it has been confirmed that the independent directors, Ms. Gu Guang, Mr. Li Mingfa, and Mr. Zhang Lei, do not hold any positions within the company other than that of independent directors. They also do not hold any positions in companies controlled by the company’s major shareholders or actual controllers. There are no interests or relationships that could hinder their ability to make independent and objective judgments with respect to the company or its major shareholders and actual controllers. Therefore, there are no factors impacting the independence of the independent directors. The independent directors meet the relevant requirements for independence as stipulated in the Measures for the Administration of Independent Directors of Listed Companies and the Self-Regulatory Guidelines No. 2 for Listed Companies on the Shenzhen Stock Exchange.
